Terms of Service

These Terms are an agreement between you and Higher Order Computing Company, a Delaware corporation, 8 The Green, Ste B, Dover, DE 19901, USA ("HOC", "we", "us"). They cover UniiChat: the site uniichat.com, the unii terminal app, your account and your credit (the "Service"). By signing in you accept them and our Privacy Policy, and you confirm that you are at least 18 years old. If you act for a company, you confirm you may bind it.

1. What UniiChat is

1.1 An AI, not a person. Unii is an artificial intelligence. Every reply comes from AI models, never from a human.

1.2 One chat. You have one chat with Unii that never ends. As it grows, AI models write summaries of older messages, and Unii reads those summaries instead of the full history. It can open any summary to read what it covers. Summaries can leave things out or get them wrong.

1.3 Third-party models. We do not train or run our own models. Your messages, the parts of your history the chat needs, and anything Unii reads with its tools go through our servers to model providers (today Anthropic and OpenAI), under our accounts. When Unii searches the web, the search goes through the provider's own search service. The providers' terms bar them from training on this data; they may keep it for a short time to detect abuse.

1.4 Outputs can be wrong. AI makes mistakes. A reply may be false, incomplete, out of date or offensive, and is not legal, medical, financial or other professional advice. Check what matters before you rely on it.

1.5 Changes. We may change the Service. If a change takes away its core, we will tell you, and you may close your account and get back your unused purchased credit (section 6.8).

2. Your account

2.1 Signing in. You sign in with a link we email you, or with GitHub. Anyone who can read your inbox, or use your GitHub account, can get into your account, so keep them safe. You are responsible for what is done through your account. Tell us at once if you think someone else has access.

2.2 One HOC account. Your account is an HOC account. The same account and credit work in BendAI and other HOC products, under their own terms. Deleting your UniiChat account closes that HOC account (section 8.1).

2.3 Only you. An account is for one person. Do not share, sell or rent it.

3. The terminal app and your devices

3.1 License. We license you to install and run unii on computers you control, to use the Service, or to run your own UniiChat server with it (unii serve) for yourself. Your own server is not the Service: it runs on your computer and your model providers' accounts, under their terms, and we hold none of its data. You may not sell unii, copy it for others, or reverse engineer it, except where the law allows that anyway.

3.2 Devices. While unii is open on a computer, Unii can run commands, and read and write files, on it, when Unii decides to or when you ask, from any of your sessions, including the site and your phone. They run with your permissions. What they print, and the files they read, join your chat and go to our model providers. If you start unii with UNII_COMPUTER=1 (macOS), Unii can also see that computer's screen and use its mouse and keyboard, to do what you ask: it is told to pay, buy, send or delete only what you named, and to stop at a password, card or confirmation your request did not cover, but it can make mistakes, so watch what it does. Closing unii on a computer ends Unii's access to it.

3.3 Your responsibility. You choose where to run unii and what it can reach. You are responsible for what those commands do: lost or changed files, costs, and actions on other systems. If that matters to you, run it in an isolated account or machine, and keep backups.

4. Your content

4.1 Yours. What you send (messages, images, files, the output of commands on your devices) is "Input". What the Service returns (replies, summaries) is "Output". As between you and us, and as far as the law allows, you keep your rights in your Input and you own your Output; we assign you whatever rights we have in it. Output may not be unique: others may get similar replies.

4.2 Our use. You let us store and process your Input and Output, and pass them to our service providers, only to run the Service, keep it safe, follow the law and enforce these Terms. We do not train AI models on them, sell them, or use them for ads. No one at HOC reads your chat unless you ask us to, or it is needed to investigate abuse or a security problem, or the law requires it.

4.3 Your rights to send it. You confirm you may send your Input and have it processed as these Terms and the Privacy Policy say, including any consent needed for other people's data in it. Think twice before sending health, financial or other sensitive information.

4.4 Storage. We keep your whole chat, its summaries and your images until you delete your account. You can download all of it at any time (menu, Export Memory).

5. Acceptable use

You must follow the law and the usage policies of our model providers (Anthropic, OpenAI). You may not:

6. Credit and payment

6.1 Bend Credits. You pay for the Service with Bend Credits, HOC's credit, in US dollars: one credit is one dollar of usage. Credit is a prepayment for HOC services. It is not money, a deposit or a stored-value account, has no cash value, and cannot be transferred, sold or given away. It never expires.

6.2 Prices. Each model call costs the model provider's list price for the tokens it used, times 2 in fast mode and 6 in ultrafast mode, plus $0.01 per web search, as our price table shows. Token counts come from the provider's report of the call. We may change prices on 14 days' notice on the price table or by email; a provider's price change applies when the provider makes it.

6.3 Charges and debt. Each model call is charged from your credit after it ends, for all it used, also if you stopped it. When your balance reaches zero, Unii starts no model call (a reply, a summary, an agent, an import, a voice note) until you add credit, and messages not yet summarized wait for it. A call may write only as much as your credit left pays, so a reply may end cut short when it runs out. What a call costs past zero (a web search, a voice note) is a debt: your balance shows below zero, and your next purchase of credit pays the debt first. Every charge is listed in your account (menu, or /account), each with the calls it paid: when, what for, the model, its tokens and its cost.

6.4 Adding credit. You add credit by card through our payment processor, Stripe, with a minimum of $5. Each purchase adds a platform fee of 10% of the credit bought, at least $0.80, the same for every payment method. The checkout page shows the total you pay before you pay it: the credit, the fee, and any tax. We may refuse a payment or set limits on top-ups. In the iOS app you add credit through Apple's App Store instead: Apple sells it under its own terms, at the price the App Store shows before you pay (Apple's commission and any tax included, so the same credit costs more there), and handles that payment and its refunds (reportaproblem.apple.com); withdrawal (6.6) does not apply to it. If Apple refunds a purchase, we remove its credit, and what you already used of it becomes a debt (6.3).

6.5 Taxes. Where the law requires us to collect sales tax, VAT or GST on your purchase, we add it at checkout, where you see it before paying.

6.6 Withdrawal: 14 days. For 14 days after you add credit, you may withdraw from that purchase by writing to us at contact@higherorderco.com. We refund the credit you have not used to your card, the whole payment (fee included) if you used none of it. By using credit right away you ask us to start the Service at once, and you lose the right to withdraw for the part already used. This does not limit any right your local law gives you.

6.7 Other refunds. Apart from section 6.6, purchases are final, except where the law requires a refund, where we end the Service or these Terms for our convenience (section 1.5, 8.3), or at our discretion.

6.8 Ending. If you delete your account, or we end the Service or close your account, we refund your unused purchased credit to the card that paid for it (or, where that is not possible, by another means we can support).

6.9 Disputed payments. If you dispute a card payment with your bank, the credit from that payment stops working and your account may be frozen until the dispute ends. We may give Stripe and your bank the account, payment and usage records the dispute needs, never your chat.

6.10 Free credit. Credit we give for free may expire, may be withdrawn, is never refunded, and is spent after purchased credit.

7. Safety

7.1 Crisis support. If you write about suicide or self-harm, Unii is instructed not to encourage or help with it, to respond with care, and to point you to people who can help: in the US, call or text 988 (Suicide & Crisis Lifeline); elsewhere, your local emergency number or a crisis line listed at findahelpline.com. Unii is instructed never to claim to be human. These instructions follow the evidence-based safe messaging guidelines for suicide prevention. Unii is not a crisis service: if you or someone else is in danger, call emergency services.

7.2 Not for minors. UniiChat is for adults only. AI chatbots may not be suitable for minors.

7.3 Reports. To report content, a safety concern or illegal use, write to contact@higherorderco.com.

8. Ending

8.1 By you. You may delete your account at any time (menu, Delete account, or /delete), once no payment dispute is open and nothing is owed. Deleting signs you out everywhere, removes your chat, summaries and images from our servers at once (backups are overwritten within 30 days), closes your HOC account, and refunds any purchased credit left (section 6.8). We keep only the records the law requires (Privacy Policy, section 5).

8.2 By us. We may suspend or close your account, with notice where we can, if you break these Terms, if there is a security risk, if a payment is disputed, or if the law requires it. We restore access once the cause is fixed, if it can be.

8.3 For convenience. We may end the Service or these Terms with 30 days' notice, and refund unused purchased credit.

8.4 What survives. Sections 4.1, 6 (for amounts owed and refunds), 9 to 12 survive.

9. Warranty

We provide the Service with reasonable care and skill. Apart from that, and as far as the law allows, the Service, the terminal app and Output are provided "as is" and "as available", without warranties of merchantability, fitness for a purpose or non-infringement, and without any promise that the Service will be uninterrupted, that Output or summaries will be accurate or complete, or that commands run on your devices will be safe. If the Service fails because of us, we will fix it or refund the credit charged for the calls affected.

10. Liability

10.1 As far as the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data.

10.2 As far as the law allows, our total liability under these Terms is limited to the greater of what you paid us in the 12 months before the claim arose and $100.

10.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or willful misconduct, or any liability or right that the law does not let us limit or waive, including your rights as a consumer under the law of the country you live in.

10.4 If you use the Service for a business, you will defend HOC against third-party claims arising from your Input, your use of Output, or commands run on your devices, and pay what a court finally awards on them.

11. Disputes

11.1 Talk to us first. Write to contact@higherorderco.com and we will try to fix it within 30 days.

11.2 United States: arbitration. If you live in the United States, any dispute not settled is decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (business users: its Commercial Rules), held online or in the county where you live. You and HOC give up the right to a jury trial and to bring or join a class, collective or representative action. Either side may instead bring an individual claim in small claims court, and either may ask a court to stop infringement of intellectual property. You may opt out of this section within 30 days of first accepting these Terms by emailing contact@higherorderco.com from your account's address with "arbitration opt-out".

11.3 Law. These Terms are governed by the laws of the State of Delaware and US federal law, without regard to conflict-of-laws rules. Proceedings outside arbitration go to the state or federal courts in New Castle County, Delaware.

11.4 Outside the United States. If you are a consumer in the European Union, the United Kingdom, Brazil or another country whose law gives you mandatory protection, you keep the protection of the law where you live, and you may bring a claim in its courts. Section 11.2 does not apply to you.

12. General

12.1 Changes to these Terms. We may update these Terms. We will post the new version here with its date and, for important changes, email you 30 days before they apply. If you keep using the Service after that, you accept them; if you don't, you may delete your account, and section 6.8 applies as if we ended the Service.

12.2 Copyright. To report material that infringes your copyright, write to our copyright agent: Copyright Agent, Higher Order Computing Company, 8 The Green, Ste B, Dover, DE 19901, USA, dmca@higherorderco.com (registered with the US Copyright Office as DMCA-1080821), with the details 17 U.S.C. § 512(c)(3) asks for. We close the accounts of repeat infringers.

12.3 Notices. We may notify you by email to your account's address or in the Service. Our single point of contact, for users and for authorities (including under the EU Digital Services Act), is contact@higherorderco.com, in English or Portuguese.

12.4 Everything else. These Terms, the Privacy Policy and the price table are the whole agreement about the Service. If a part is unenforceable, the rest stays in force. Not enforcing a part is not a waiver. You may not transfer these Terms; we may transfer them to an affiliate or a successor, with notice. Neither side is liable for delays caused by events beyond its reasonable control, such as outages of our model providers or hosting.
